Business Acquisition Financing

Buying an established U.S. business, purchasing a practice, or arranging a partner buyout? Sierra Capital Advisory helps buyers organize the transaction and compare commercial financing structures against the purchase price, cash contribution, operating history and post-close working-capital need.

Have a transaction in view? Tell Georgie what you plan to buy and the approximate financing amount. This brief, consent-based request starts a Sierra conversation. It is not a loan application, preapproval or financing offer.

What the financing must cover

An acquisition may require more than a purchase-price loan. Buyers should estimate the equity contribution, closing costs, inventory, equipment, property, transition expenses and working capital needed after closing. The right structure depends on what is being bought and the reliable cash flow available to repay it.

  • Established operating company: review historical earnings, customer concentration, existing debt, owner compensation and the proposed transition.
  • Professional or healthcare practice: account for licensing, payer mix, receivables, patient or customer retention and any property or equipment included in the transaction.
  • Commercial property with the business: separate the real-estate financing questions from the operating-company purchase and confirm occupancy and collateral details.
  • Partner buyout or partial change of ownership: document the existing ownership, valuation, proposed post-close control and repayment plan.

Potential financing routes

Depending on eligibility and transaction terms, Sierra may evaluate an SBA-backed acquisition loan, conventional term financing, commercial real estate financing, equipment financing, asset-based lending or other private credit. SBA lists complete and partial changes of ownership among potential 7(a) uses; the participating lender determines eligibility and required documents. No structure or approval is guaranteed.

Prepare the transaction for review

  • Purchase agreement, letter of intent or a clear description of the proposed transaction.
  • Purchase-price allocation, requested amount and available buyer cash contribution.
  • Historical business financials, tax returns, debt schedule and recent bank statements when available.
  • Buyer experience, ownership structure and operating plan after closing.
  • Any property, equipment, inventory or receivables included in the purchase.
